  • Corporate/M&A. Entity formation and structure of professional corporations, PLLCs, LLPs, partnerships and joint ventures; mergers and acquisitions; real estate leases; withdrawals, separations, earnouts and dissolutions. Advice relating to Sarbanes Oxley issues. Review of business forms, engagement agreements, special retainers, legal review of financial opinions or statements.
  • Labor and Employment. Compensation arrangements or retirement benefits, discrimination or disability issues and issues affecting the enforceability of restrictive covenants. Review employment contracts, severance arrangements, employment practices and liability issues as well as office policies and procedures.
  • Ethics and Compliance. Advise on compliance with rules of professional conduct; consult on ethics issues relating to conflicts of interest resolution, confidentiality, privileged communications, advertising and solicitation, and professional licensing; counsel on issues relating to risk management, loss prevention and professional liability; and develop internal compliance programs and policies.
  • Banking and Finance. Negotiate and document credit lines and other financings and advise on insolvency issues.
  • Litigation. Expert testimony, arbitration proceedings, litigation disputes with third parties, litigation in bankruptcy cases and insolvency proceedings, regulatory proceedings.
  • Trust and Estates. Succession planning and asset protection for owners or partners.
