Wai Y. Chan is a partner in Moses & Singer's Corporate/M&A, Securities and Capital Markets, and Equipment Lease Financing practice groups.  He serves numerous middle market and closely-held companies in their financing needs including private and public debt and equity offerings, mergers and acquisitions and general corporate matters. He advises on equipment finance leasing matters, working closely with financial institutions and hedge funds which capitalize such transactions.

Prior to joining Moses & Singer, Wai Y. Chan was a member of the firm at Epstein Becker & Green, P.C. in their Business Law practice in New York.  Wai advises and represents clients on finance transactions, private and public debt and equity offerings, mergers and acquisitions and general corporate matters. 

Representative Matters

  • Representing borrowers in asset-based financing transactions ranging from $5 million to $70 million.
  • Representing the principals of an apparel company in the sale of a majority interest in the company.
  • Representing an adventure racing company in a Series A investment by a venture capital film.
  • Representing start-up social media company for business professionals in its initial organization, obtaining initial financing and the preparation of commercial agreements.
  • Representing a publishing and licensing company in several financings in connection with the $500 million acquisition of several internet-based social networking companies.
  • Representing an internet solutions provider in a $600 million Rule 144A debt financing, a $170 million secondary offering of common stock, and an $80 million private placement of convertible preferred stock.
  • Assisting a security systems integrator in a $10.5 million initial public offering of common stock, $3.3 million private placement of equity securities and its merger with a publicly traded security solutions provider.
