Arnold N. Bressler has considerable experience in corporate and securities law, having practiced in the field for more than 35 years.  Arnie works closely with clients to understand their goals and how the legal services he provides can meet their objectives.  He counsels clients on a broad range of corporate and securities matters, including mergers and acquisitions and public and private offerings.  Arnie’s clients include middle-market public companies and closely-held corporations from a wide range of industries, including technology and publishing.  He also represents equipment finance leasing companies, as well as lenders who finance such companies.

Notable representations include:

  • Penthouse Media Group Inc. in the financing of its $500 million acquisition of Various, Inc., making Penthouse the largest adult entertainment company;
  • Henry Bros. Electronics, Inc., a provider of technology-based integrated electronic security solutions, in an acquisition by Kratos Security & Defense Solutions, Inc. of all the client's issued and outstanding shares for $8.20 per share making the total deal valued at $55 million; and
  • a leading equipment finance leasing company in a series of transactions which raised more than $300 million from major banks and hedge funds.

 

In addition to his corporate practice, Arnie co-chairs the firm’s Legal Ethics & Law Firm Practice Group.  He stays in tune with the ever-changing laws and regulations in his practice areas as a regular author and lecturer on topics related to U.S. securities and corporate laws, as well as the issues facing lawyers in corporate legal departments and lawyers in private practice. 

Arnie is involved in a number of philanthropic organizations, and serves on the Board of Trustees of Congregation Rodeph Sholom in New York and the Board of Directors of the Association of Reform Zionists of America.  For more than a decade, he served as a director and officer of an organization that supports social service programs in Israel.  Arnie also served on the Visiting Committee of Case Western Reserve University from 1996 to 2000. 

Prior to joining Moses & Singer, Arnie was chair of the Business Law practice group at Epstein Becker & Green, P.C., and prior to that was head of the Corporate Department at Milberg LLP for more than 20 years.
